LICENSE AGREEMENT

This license agreement ("Agreement") is entered into between the buyer of Exicube Ride, hereinafter referred to as the "Buyer" or "Licensee," and Exicube App Solutions (OPC) Private Limited, hereinafter referred to as the "Licensor."

 

Buyer Entitlement:

   The Buyer of Exicube Ride shall be entitled to the rights and obligations outlined in this license agreement. The terms and conditions set forth herein shall apply to the Buyer's use of the Exicube Ride source code ("Software").

 

1. Grant of License:

   The Licensor grants the Buyer a non-exclusive, non-transferable license to use the Exicube Ride source code ("Software") solely for the purpose of building and deploying a mobile application and web application ("End Product") for a single application instance. This license is subject to the terms and conditions of this Agreement.

 

2. Permitted Use:

   The Buyer may use the Software to build and deploy the End Product for a single application instance. The Buyer has the right to modify, customize, and personalize the Software to fit specific requirements for the End Product.

 

3. Distribution:

   The Buyer may distribute the End Product, including the built mobile application and web application, to end-users through application marketplaces, app stores, web hosting, or other distribution channels.

 

4. Ownership and Intellectual Property:

   All intellectual property rights, including copyrights and trademarks, relating to the Software and the End Product, are and will remain the property of the Licensor. This Agreement does not grant the Buyer any ownership rights to the Software or the underlying technology.

 

5. Derivative Works:

   The Buyer may create derivative works based on the Software for the purpose of customizing or extending functionality within the scope of the Permitted Use. Any derivative works shall be considered part of the End Product and are subject to the terms and conditions of this Agreement.

 

   All intellectual property rights in any derivative works created by the Buyer shall be owned by the Licensor. The Buyer hereby agrees to assign all rights, title, and interest in and to such derivative works to the Licensor.

 

   The Buyer shall not distribute or sublicense any derivative works independently of the End Product. Derivative works shall only be used in connection with the End Product.

 

6. Support and Updates:

   The Licensor will provide support and updates for the Software for a specified period as outlined in the separate support agreement. Support includes assistance with resolving technical issues related to the Software.

7. Prohibited Actions:

   The Buyer is prohibited from reselling, sublicensing, or redistributing the Software or any part thereof in any form. Unauthorized reproduction, modification, reverse engineering, or unauthorized use of the Software is strictly prohibited.

 

8. Usage Restrictions:

   The Software shall not be used for any illegal, malicious, or unethical purposes. The Buyer agrees to comply with all applicable laws and regulations in the use of the Software.

 

9. Termination:

   This Agreement is effective until terminated. The Licensor reserves the right to terminate this Agreement if the Buyer breaches any of its terms and conditions. Upon termination, the Buyer must cease all use of the Software and destroy any copies in their possession.

 

10. Disclaimer of Warranty:

   The Software is provided "as is" without any warranties or conditions, whether express or implied. The Licensor disclaims all warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.

 

11. Limitation of Liability:

   In no event shall the Licensor be liable for any indirect, consequential, special, or incidental damages arising out of the use or inability to use the Software, even if advised of the possibility of such damages.

 

12. Governing Law and Jurisdiction:

   This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor operates. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
